The company was formed in 1901 to effect a consolidation of ownership that avoided formal merger of the two systems. In the landmark Northern Securities Case decision (1904), the U.S. Supreme Court ruled that the arrangement was a violation of the anti-trust acts and its consolidating aspects were nullified.
